Important terms

These terms apply to outright domain purchases and Lease to Buy. Your Order Summary forms part of the agreement.

Lease to Buy: You pay 10% initially, followed by the agreed monthly schedule. The final scheduled payment is an optional purchase payment equal to the regular monthly amount. There is no additional purchase balance or balloon payment. Serallo retains registration and transfer control until Completion.

Late payment: An instalment remaining unpaid for five complete days will result in suspension under section 13. We may change DNS or nameservers and direct visitors to a suspension notice. Websites, email, subdomains and connected services may stop working. After fourteen complete days unpaid, we may terminate under section 14 and subsequently offer the Domain to another customer.

Payments and cancellation: You may stop a Lease to Buy plan without owing future scheduled payments. The initial reservation payment and other charges are subject to the non-refund provisions in section 16. Consumer cooling-off cancellation, early-transfer requests and pro-rata service charges are set out in section 11. A qualifying outright transfer service ends cooling-off cancellation only on full performance after the required express request and acknowledgment. Business Customers have no contractual cooling-off period or voluntary cancellation of an accepted outright purchase. The liability provisions in section 21 apply.

Your rights checks: You must check the Domain's spelling, suitability and lawful intended use, including trade mark and other third-party rights, before ordering. Domain registration gives no trade mark rights or clearance. An issue with your intended use does not itself create a refund right; mandatory rights and remedies for our own breach remain protected. See sections 4, 16, 18, 21 and 22.

1. Definitions and application

1.1 Serallo, we, us and our mean the business identified above. You means the customer named in the Order Summary. A person ordering for a separate legal entity acts on behalf of that entity.

1.2 A Consumer is an individual acting wholly or mainly outside their trade, business, craft or profession. A Business Customer is a customer acting otherwise than as a Consumer.

1.3 Domain means the exact domain name in the Order Summary. Corresponding .co.uk and .uk domains are separate registrations and are included only if expressly listed.

1.4 Order Summary means the customer-specific domain, transaction type, prices, taxes, payment schedule, services and special terms supplied before payment commitment and confirmed on acceptance. Agreement means the Order Summary, these terms and any other document expressly incorporated and supplied before acceptance.

1.5 Acceptance Confirmation means our express acceptance of your order. Service Start means the actual start of the agreed reservation or other service, following acceptance and any required early-start request. Activation means the start of licensed domain-use access. Completion means the successful transfer of registration rights through the registry's required process.

1.6 Registry means Nominet. Registrar means the registration service provider managing the Domain. References to ownership and sale mean the registration and contractual rights in the Domain.

1.7 Dates and times use Europe/London. A Working Day is Monday to Friday, excluding public holidays in England. Five complete days means 120 elapsed hours and fourteen complete days means 336 elapsed hours after the applicable due time. One calendar month ends at the corresponding local time on the same date in the following month, or its last day if that date does not exist.

1.8 Mandatory law takes priority. Subject to it, expressly agreed customer-specific terms in the Order Summary take priority over these general terms.

1.9 Each Domain has a separate agreement unless the Order Summary expressly identifies a combined transaction. Payment-default action under these terms concerns the affected agreement.

2. Eligibility, orders and acceptance

2.1 You must be at least 18, have contractual capacity, give accurate information and be authorised to use the payment method. A business representative must identify the contracting entity and have authority to bind it. Orders for undisclosed third parties are not permitted.

2.2 Listings and quotations invite orders. Your order is an offer. An automated acknowledgement, payment receipt, authorisation or verification result is not itself acceptance.

2.3 Before acceptance, we may decline an order for any lawful commercial, availability, verification, security or compliance reason. We may withhold confidential fraud-detection information and information subject to legal restrictions.

2.4 We aim to accept orders within one hour of receiving the order and the information required to process it. Acceptance may take longer, including where verification, manual review, payment clearance or third-party action is required. We will notify you of material delays. You may withdraw an unaccepted order by contacting us.

2.5 The agreement begins when we send the Acceptance Confirmation or, if earlier, start supplying the agreed reservation, domain-use or transfer service with the required authority.

2.6 Payments collected before acceptance are held against the proposed order. If we reject the order, cannot supply it or receive your withdrawal before acceptance, we will release an uncaptured authorisation or return captured payments without undue delay and within fourteen days, subject to a binding legal restriction on releasing funds.

2.7 We may correct listing or quotation errors before acceptance and invite an order at the corrected price. An agreed correction after acceptance will be recorded in writing. We reserve remedies available under applicable law for an erroneous transaction.

2.8 After acceptance, our suspension and termination rights are those set out in this agreement.

2.9 We will supply a saveable copy of the accepted Order Summary and terms. You must check the Domain and purchaser details and notify us promptly of inaccuracies.

3. Verification and security

3.1 We may require identity verification, payment authentication, address or business information and evidence of authority for security, fraud-prevention, registry or compliance purposes. Checkout will identify the required process and any deadline. Serallo may expressly approve an alternative or waive a routine identity check after reviewing a paid order; that decision is recorded separately from a provider verification result.

3.2 Access and transfer are conditional on the payment required for that stage and satisfactory checks or an expressly recorded Serallo approval. A manual approval does not record a completed provider identity check and does not remove another payment, fraud, registry, cancellation or transfer requirement. We may request further information or manual review where reasonably necessary.

3.3 Missing or incomplete identity verification does not automatically cancel a paid order or cause a refund. An order may remain pending while we resolve reasonably required checks or consider manual approval. If we reject an unaccepted order, section 2.6 applies. During an active agreement, you must cooperate with reasonably required security or compliance checks within a stated reasonable deadline; urgent restrictions may apply under section 17. Consumer cancellation under section 11 and other mandatory rights remain unaffected.

3.4 Payment and verification providers and data processing are identified in the checkout and Privacy Notice. Where required, additional verification permissions will be requested separately.

3.5 Use the secure verification channels we provide. Maintain an independent recovery email address accessible without the Domain.

4. Scope of supply

4.1 An outright purchase supplies the registration rights identified in the Order Summary. Lease to Buy supplies the exclusive domain-use licence and conditional purchase option in this agreement.

4.2 Unless expressly included, the transaction excludes websites, code, content, hosting, email hosting, businesses, customer lists, social-media accounts, trademarks, copyrights, traffic, revenue and search-engine rankings.

4.3 Valuations, estimates and suggested uses are not guarantees of commercial performance, resale value, search or email treatment, or freedom from third-party claims.

4.4 You must check the Domain's exact spelling and extension, its suitability for your intended use and any permissions you need before ordering. You are responsible for your own website, backups and supporting services. The rights-checking obligations in section 18 apply to both outright purchases and Lease to Buy.

4.5 A Domain's registration, availability for sale or lease, purchase price, or inclusion of a word or name does not grant you a trade mark, a business name, a right to impersonate another person, or clearance for any particular use. We do not carry out trade mark or other rights clearance on your behalf, provide legal advice, or promise that a proposed use will be free of third-party claims, unless we expressly agree that service in the Order Summary. Identity and payment verification are not checks of intellectual-property rights.

4.6 We are responsible for having authority to supply the registration rights we agree to supply. That is different from confirming that a particular name, brand, sector or intended use is free of third-party rights. Nothing in this section overrides an express description we give, our duty to use reasonable care and skill, or section 21.1.

5. Prices and Lease to Buy calculation

5.1 Your Order Summary states the cash price, taxes, initial payment, additional licence charge, exact schedule and total payable on Completion. Consumer prices include applicable VAT. Business quotations identify their tax basis and the full amount payable before commitment.

5.2 Available terms are normally 6, 12, 24, 48 or 60 months. Your accepted schedule determines the term and payment dates.

5.3 On a consistent tax basis, P is the cash price and N the selected number of months:

5.4 The bands are marginal: 20% applies to the first £1,000 and 8% to the balance. The additional charge uses the original cash price, does not compound and is included in the scheduled payments, not invoiced separately each year. These percentages are not an APR quotation.

5.5 D and F are rounded to pennies, using round-half-up and retaining precision in A until F is calculated. M is rounded to pennies. The first monthly payment is S − ((N − 1) × M). All later payments, including the final option payment, equal M.

5.6 There are N scheduled payments after D. Payments 1 to N−1 are licence payments; payment N is the optional purchase payment. D is included in T.

5.7 The accepted price and schedule remain fixed for the agreement, subject to an expressly agreed variation or a legally mandatory change under section 20.

5.8 Serallo charges no additional completion or transfer-out fee for completing the plan. Separately requested services and any charges from a registrar you select require separate agreement with the relevant provider.

6. Outright purchases and transfer

6.1 Before transfer, the agreed price must be paid, required checks completed and accurate recipient and registrar information supplied.

6.2 We aim to transfer the Domain within one hour after acceptance and satisfaction of the applicable payment, verification, recipient-information and early-transfer requirements. Transfer may take longer, including because of registry processing, recipient approvals, security checks or third-party systems. A delivery commitment expressly agreed in the Order Summary takes priority. We will notify you of material delays and complete within the agreed or otherwise reasonable time.

6.3 You must promptly supply required details, approve transfer requests and accept applicable registry terms. We may pause processing while essential information or approval is missing.

6.4 Serallo retains registration and control rights until Completion. After Completion, the Lease to Buy restrictions end.

6.5 The registration expiry and remaining registration period will be identified before purchase or Lease to Buy Completion. A transfer does not create a new registration term unless expressly agreed. After Completion you are responsible for renewals and separately agreed management services.

6.6 If we cannot complete an accepted transaction and the failure is not caused by your breach, we will return payments attributable to the unsupplied transaction. Section 21 applies to any additional claim.

7. Lease to Buy: registration, reservation and access

7.1 On Activation, we grant you an exclusive personal licence to use the Domain lawfully while the agreement remains active and you comply with it. Serallo remains the registered holder until Completion under section 8.

7.2 You may manage permitted DNS records and nameservers through our interface or support process. You must not change the registrant or TAG, transfer, sell, pledge or grant a competing licence of the Domain. Registry-account and registrant-recovery credentials remain under our control.

7.3 You may authorise technical staff to manage your permitted services. Assignment of the agreement requires section 24 approval.

7.4 During the active agreement, we reserve the Domain exclusively for you, maintain its registration and pay the ordinary registry renewal charges included in the plan.

7.5 Your content and branding remain yours. Creating a website or goodwill does not transfer the Domain's registration rights or extend this agreement.

7.6 The initial reservation payment pays towards exclusive reservation, setup and the initial licensed period. It is included in the total plan price and is not a refundable security deposit. Supply begins at Service Start; live domain-use access follows Activation. Its treatment on cancellation is governed by sections 11 and 16.

7.7 The first monthly payment is due one month after Activation. Subsequent payments fall on the corresponding monthly date, or the month's last day where necessary. Different dates must appear in your accepted schedule. Monthly collection does not begin before Activation.

8. Final option and early completion

8.1 The last scheduled payment is the option to acquire the registration rights. It equals M and is included in T. The option is voluntary.

8.2 You must give a clear instruction to exercise the option. An advance instruction may be recorded at checkout and withdrawn before collection. We will send a reminder identifying the final amount and date and obtain any required acquisition or early-transfer permissions.

8.3 Following valid exercise and successful payment, or a waiver under section 8.4, we will complete the transfer once prior amounts properly due and essential registry requirements are satisfied. The transfer target in section 6.2 applies. No additional licence payment arises solely from our transfer-processing delay.

8.4 If we cannot contact you or obtain confirmation of the optional final payment, we will keep the completion opportunity open for one calendar month after its scheduled date, provided the agreement has not otherwise validly ended. During this window we will continue the existing reservation and access where preceding payments and other obligations are up to date, without an additional monthly payment.

8.5 You may request an early-completion quotation. It will identify the amount, calculation and any credit for payments already made and will not exceed the unpaid total of the existing completion schedule. Early Completion requires acceptance of that quotation and the required payment and transfer instructions.

9. Recurring payments and collection attempts

9.1 Your payment authority, recorded through checkout and the payment-provider process, permits the processor to store payment credentials securely and collect the initial payment, scheduled amounts and permitted retries. Final-option collection also requires section 8 authorisation.

9.2 Maintain an authorised payment method, provide required authentication and ensure funds are available. You must update or reauthenticate a method when required to complete payment.

9.3 We may retry an unpaid instalment at reasonable intervals for up to fourteen days from its applicable due time, including after suspension on day five. Retry timing and frequency depend on payment status, payment-provider rules and the authority you have given. Retries stop on payment, withdrawal of the authority, termination or expiry of the applicable retry window.

9.4 We will not submit a retry prohibited by the issuer or payment provider. A decline may require fresh authentication or a replacement payment method.

9.5 You may pay using another supported method through the payment link or account. We will reconcile payments before further collection. There is no separate failed-payment or automatic-retry fee under these terms.

9.6 You may cancel recurring-card authority through us or your card issuer. Notify us separately if you wish to end the plan; otherwise amounts due must be paid using another supported method. Cancellation of authority does not make future payments immediately due.

9.7 Pending or declined payments are not completed payments. A completed payment is credited when verified. Reversed payments are governed by section 15.

10. Your operational and acceptable-use obligations

10.1 Keep contact details accurate, protect credentials, restrict access to authorised persons and promptly report suspected compromise. You are responsible for instructions given by you or your authorised representatives.

10.2 You are responsible for your content, website, email, permissions and legal compliance. Fraud, phishing, malware, unlawful spam, counterfeiting, unlawful impersonation, infringement, unlawful disclosure of personal data, system attacks and other unlawful use are prohibited.

10.3 You must not deliberately or recklessly damage the Domain's reputation, bypass a valid suspension, interfere with our registration rights or misrepresent your authority to transfer the Domain.

10.4 We may investigate credible abuse reports, require corrective action, preserve relevant evidence and cooperate with registries and lawful authorities.

10.5 Maintain independent backups and recovery contacts. Domain access is not a backup service or emergency-communications service.

10.6 You must ensure that people you authorise to use or manage the Domain follow sections 10 and 18. You remain responsible for their acts and instructions to the extent arising from your authority, permission or failure to comply with your own security obligations. This does not make you responsible for loss caused by our breach.

11. Consumer cancellation

11.1 A Consumer ordering online may cancel without giving a reason within fourteen days after the day the agreement is made, subject to section 11.6. Any statutory extension applies. Business Customers have no contractual cooling-off period, and we offer no voluntary cancellation of an accepted outright purchase unless we expressly agree otherwise. This does not affect the right to end a Lease to Buy plan under section 12 or a remedy required by law.

11.2 Send a clear cancellation statement through your account, by email, telephone or post using the contact details above before the period expires. You may use Schedule B.

11.3 If you expressly request early supply, reservation and other agreed services may begin at Service Start during the cancellation period, with domain-use access following Activation. Without the relevant express request, the affected service starts after the cancellation period ends. A general agreement signature or payment does not, by itself, record an early-performance request or acknowledgment. A later request must be made before the affected early performance begins and is recorded separately; it does not rewrite or backdate your original agreement.

11.4 If you cancel after expressly requesting early supply, we will deduct the proportionate charge for the service supplied up to receipt of your cancellation notice and refund the balance of the payments received. For Lease to Buy, the time-based charge is the total agreed licence price, including the initial reservation payment but excluding the final optional purchase payment, multiplied by elapsed service time and divided by the full agreed licence period. The Order Summary records the period and rate. The deduction is limited to the amount permitted by law and is zero where the required early-start request or cancellation information was not supplied.

11.5 The section 11.4 calculation includes the initial reservation payment; it is not retained again as a separate cancellation charge.

11.6 Early outright transfer. You may separately ask us to start and complete an outright domain transfer during your cancellation period. If the transaction is a service contract, your statutory right to cancel that contract ends when our agreed service has been fully performed, but only where performance began after your express request and your acknowledgment that the right would end on full performance, and all applicable legal requirements are met. We obtain and confirm the request and acknowledgment separately. Sending a transfer invitation, starting work or giving access alone does not establish full performance. Lease to Buy activation does not end the cancellation right for its continuing services. Your mandatory rights and remedies if we fail to supply what we agreed remain unaffected.

11.7 If a completed transfer is validly cancelled, you must cooperate with restoring registration rights through the registry process as required by law.

11.8 We will make a required cancellation refund without undue delay and within fourteen days after receiving your notice, using the original payment method unless you agree otherwise, without a refund fee.

12. Ending a plan voluntarily

12.1 You may end Lease to Buy by notifying us through your account or the contact details above, without liability for future scheduled payments.

12.2 Unless you request an earlier end or section 11 applies, cancellation takes effect at the end of the licensed period already paid for. We will confirm the end date and stop future collection instructions. Refunds are governed by section 16.

12.3 On the effective end date, licensed use and the purchase option end unless Completion is already agreed and in progress. We may subsequently offer the Domain elsewhere subject to section 14.3.

12.4 Ending the plan does not release an accrued amount properly due or a separate legally recoverable liability arising from your conduct.

13. Five-day suspension

13.1 Following payment failure, we will notify you of the unpaid amount, payment methods, applicable due time and suspension and termination deadlines.

13.2 We will suspend licensed domain use when an instalment remains unpaid for five complete days after its applicable due time, subject to a binding legal restriction or an unresolved payment error or billing dispute under investigation. Continued technical access does not extend the payment deadline.

13.3 You authorise us on suspension to change nameservers, DNS records and other controls we operate, restrict DNS management and display a neutral suspension notice where technically possible. Suspension can stop your website, email, subdomains, applications, APIs and other domain-dependent services and redirect website visitors away from your site.

13.4 Caching, third-party systems, encryption and security settings may prevent immediate cessation or redirection of every connection. The notice will not collect your private communications or website submissions.

13.5 Where safe, account, support and payment facilities remain accessible. We retain the configuration needed for restoration and maintain the registration during suspension.

13.6 Payment of the overdue amount within the cure period, and completion of necessary verification, allows restoration of the existing plan. We aim to initiate restoration promptly and normally within one Working Day. DNS propagation may take longer.

13.7 We may pause escalation to reconcile payment, investigate an error or dispute, or comply with a legal restriction. Any extension will be confirmed. We will correct errors identified in our processing.

13.8 Reservation and registration maintenance continue during a valid payment-default suspension. Existing charges for those continued services remain subject to section 16. Suspension does not create an additional penalty or accelerate future payments.

14. Fourteen-day termination

14.1 If an instalment remains unpaid for fourteen complete days after its applicable due time, we may terminate the Lease to Buy agreement by notice, following payment reconciliation and review of outstanding billing disputes and legal restrictions.

14.2 The initial failure notice and a further warning will identify the termination risk. The termination notice states the effective time. A legally required longer period takes priority. An unexercised final option follows section 8.4.

14.3 Termination ends the licence and purchase option. Once those rights have validly ended, and subject to any binding legal or registry restriction, we may sell, lease or otherwise deal with the Domain for another customer.

14.4 We may refuse a later application for a lawful reason. Reinstatement is not guaranteed. A new transaction may carry a higher price and different terms.

14.5 Payments under an ended agreement are not credited towards a new lease or purchase. Any refund owed under the ended agreement is dealt with separately under section 16.

14.6 Future scheduled collections stop on termination. We retain rights concerning amounts already properly due; no future plan balance becomes payable merely because of termination.

15. Chargebacks and reversed payments

15.1 If an instalment is charged back, reversed or recovered from us by a payment provider, the reversed amount is treated as unpaid to the extent it remains properly due under the agreement. A provider enquiry without reversal of payment does not itself create an unpaid instalment.

15.2 We will notify you of the reversed amount, how to replace it and the applicable deadlines. For a payment previously credited as paid, the reinstatement amount becomes due when we issue that notice, no earlier than the reversal. The same five-day suspension and fourteen-day termination rules in sections 13 and 14 then apply from that notice due time. An amount already overdue retains its existing deadline.

15.3 You must restore an amount properly due through an authorised supported payment method. Collection attempts are subject to section 9 and payment-provider dispute rules. We may contest a chargeback and submit relevant transaction and service records.

15.4 Reinstatement, correction of the account or restoration by the payment provider cures the corresponding unpaid amount. If we receive the same amount twice, the duplicate will be returned or credited with your agreement.

15.5 Chargebacks do not accelerate future scheduled payments or an unexercised purchase option. Security action and review of genuine billing disputes remain governed by sections 13 and 17.

15.6 Following Completion, payment claims are dealt with through contractual, payment-provider, registry or court processes.

16. Non-refund policy

16.1 The initial reservation payment is non-refundable on cancellation or termination at your request or for your breach, except under section 11 or where a refund is required by law. It is part of the price of reservation and licensed services, not a security deposit. The rejection and non-supply provisions in sections 2.6 and 6.6 also apply.

16.2 Business Customers: no voluntary cancellation, refund or credit is offered for an accepted outright purchase, or when you end a Lease to Buy plan, stop using the Domain, choose not to complete the plan or cause termination through your breach. We retain payments only as permitted by this agreement and applicable law. Sections 2.6 and 6.6 and any refund or other remedy required by law take priority.

16.3 Consumers: we offer no voluntary change-of-mind cancellation or refund for an outright transfer after the applicable cancellation right has ended under section 11.6. Outside section 11, we offer no voluntary refund of the initial reservation payment or charges for licence periods supplied when you end a Lease to Buy plan, default or choose not to complete. We will make any refund required by law. Any amount retained on cancellation or termination is limited to charges properly earned and lawful net cancellation losses, without duplicate recovery. Remedies for our breach, misrepresentation and other mandatory rights remain unaffected.

16.4 Supply is chargeable from Service Start, including actual reservation and activation work, whether or not you connect a website or use every available feature. Consumer early-supply charges are calculated under section 11.

16.5 On termination, we stop future scheduled collection and account for accrued amounts and any refund due. The refund provisions do not create credits towards another transaction. Unless another mandatory deadline applies, a required refund will be made without undue delay and within fourteen days after the refund obligation arises, using the original payment method unless you agree otherwise.

16.6 A trade mark or other third-party claim, a restriction on your intended use, or your failure to obtain permission does not, by itself, create a right to a refund, replacement Domain, credit or release from an amount properly due. This applies where you change your business plans or discover that a proposed brand or use is unsuitable. Whether a remedy is due depends on the cause of the problem and your legal rights. Sections 2.6, 6.6, 11, 16.3 and 21 take priority: this paragraph does not remove a remedy for our breach, misrepresentation or other non-excludable liability, and does not accelerate future scheduled payments.

17. Other suspension and termination grounds

17.1 We may immediately restrict affected services or transfers where reasonably necessary for credible fraud, a serious security threat, unlawful use, a binding legal or registry direction, or a material breach requiring urgent action. We will notify you where permitted.

17.2 For another remediable material breach, we will normally give written notice and fourteen days to remedy it. Serious irremediable unlawful conduct, a binding requirement or an urgent threat may justify earlier termination.

17.3 We may terminate if required performance becomes unlawful or a binding court or registry decision prevents supply. We may restrict affected functions while a substantiated third-party claim is investigated.

17.4 Insolvency, death or incapacity is subject to applicable legal requirements and evidence of the representative's authority. Termination rights are subject to binding restrictions.

17.5 Accrued rights and liabilities survive termination. Payments are dealt with under section 16.

18. Registry requirements and third-party claims

18.1 Use and transfer must comply with the applicable Nominet terms and policies identified at checkout. You must accept the registry agreement required for registration in your name.

18.2 We will comply with binding court and registry requirements, including suspension, cancellation or transfer directions.

18.3 You must promptly tell us about any actual or threatened claim, complaint, registry inquiry or dispute affecting the Domain or its use that you know of, including one known before ordering. Give us copies and relevant facts in time to meet response deadlines, preserve relevant records and provide reasonable cooperation. You must not make an admission or agree to a settlement that binds Serallo, or purports to surrender or transfer registration rights held by us, without our written authority.

18.4 While we remain the registered holder, we may manage the response to proceedings concerning that registration, obtain advice where reasonably necessary and comply with binding legal or registry requirements. We will keep you informed of material developments and consider relevant information you provide. Any restriction must be reasonably necessary and proportionate under section 17; an allegation alone does not establish your breach. Sections 21 and 22 govern responsibility for resulting costs and claims.

18.5 You must make appropriate checks before ordering and throughout your use of the Domain, and obtain and maintain any rights, licences or permissions needed for that use. Check relevant registered trade marks, unregistered names and goodwill, passing-off risks and other third-party rights in the territories and markets in which you plan to operate. A trade mark register search alone may not resolve every risk. Obtain independent advice where needed; registration of a trade mark in your own name is not required where your use is otherwise lawful.

18.6 You must not order or use the Domain for infringement, passing off, deception or another unlawful purpose. You must not knowingly withhold information about a claim, restriction or intended use that would make the agreed supply or your use unlawful.

18.7 A claim, registry lock, suspension, cancellation or transfer direction does not by itself prove a breach by Serallo. The refund and liability provisions in sections 16 and 21 apply according to the cause of the problem and applicable law. This agreement cannot prevent a third party asserting rights or restrict the powers of a court or registry.

18.8 We do not undertake to bring, fund or appeal proceedings for you unless expressly agreed in writing. This does not reduce our obligations to supply the agreed registration rights, honour a remedy for our own breach or comply with law. Any agreed assistance and responsibility for costs must be recorded clearly; section 22 applies only to Business Customers.

19. Availability and events outside control

19.1 We will supply the agreed services with reasonable care and skill. We do not guarantee uninterrupted internet operation, immediate propagation, compatibility with every system or commercial results. Any specific service-level commitment must appear in the Order Summary.

19.2 We may perform necessary maintenance and security changes, giving advance notice where practicable and taking reasonable steps to limit disruption.

19.3 We are not responsible to the extent a failure is caused by your instructions, systems or unauthorised changes, or an event outside our reasonable control, and not by our breach.

19.4 Where an event outside reasonable control prevents performance, we will notify you, take reasonable steps to limit its effect and resume affected services as soon as reasonably practicable.

19.5 If a material interruption continues for thirty days, or makes the essential purpose impossible sooner, either party may terminate the affected agreement by notice. Sections 16 and 21 govern payments and liability.

20. Changes to an active agreement

20.1 We may make reasonably necessary amendments to comply with changes in law or binding registry requirements, address security risks, update contact information, correct non-substantive wording or implement technical changes that do not materially reduce the agreed service or rights.

20.2 We normally give thirty days' notice, identifying the change and providing the revised text. Mandatory or urgent security changes may take effect sooner, with notice as soon as practicable.

20.3 Other changes to the accepted price, schedule, additional fees, payment-retention rules or purchase rights require your express agreement, except to the extent a change is legally mandatory.

20.4 If a mandatory change prevents continued performance, we may terminate the affected agreement on notice and account for payments under section 16. A non-mandatory material adverse change requires written agreement.

20.5 Versions published for new orders do not replace an existing accepted version unless changed under this section. Customer-specific variations will be recorded in writing.

21. Liability

21.1 Nothing excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation or a liability that cannot lawfully be excluded or restricted. Non-excludable statutory rights remain unaffected.

21.2 Consumers: Our liability is limited to foreseeable loss caused by our breach or failure to use reasonable care and skill. We are not liable for business losses from a transaction entered into mainly for personal purposes, loss not reasonably foreseeable, or loss to the extent caused by your breach or failure to take reasonable steps to avoid it, subject to section 21.1.

21.3 Business Customers: Subject to section 21.1, we exclude liability for loss of profit, revenue, contracts, opportunity, anticipated savings, goodwill or data, corruption of data, and indirect or consequential loss, whether a listed financial loss is direct or indirect.

21.4 Business Customers: Subject to section 21.1, aggregate damages under or relating to the affected Domain agreement, in contract, tort including negligence, non-fraudulent misrepresentation or otherwise, are capped at the greater of £1,000 and that agreement's total price. For Lease to Buy this is T. The cap does not reduce an express refund obligation or the obligation to complete an agreed transfer.

21.5 The limitations in sections 21.3 and 21.4 apply to Business Customers to the extent permitted by applicable law.

21.6 Each party must take reasonable steps to limit loss. No party may recover the same loss twice.

21.7 Subject to section 21.1, we are not liable for loss to the extent caused by your unlawful use, failure to make appropriate checks or obtain required permissions, or breach of sections 10 or 18 by you or persons you authorise, where the loss is not caused by our breach or other conduct for which we remain legally responsible. Nothing transfers to you responsibility for our own registration or supply obligations.

22. Business-customer indemnity

22.1 A Business Customer indemnifies Serallo against reasonable third-party liabilities, damages and properly incurred external legal and registry or proceeding costs directly caused by that customer's infringement, unlawful use, materially false information, instructions that breach this agreement or applicable law, or breach of sections 4.4, 10 or 18. This includes claims arising from the customer's content, branding or use by persons the customer authorises, but only to the extent caused by those acts or breaches and recoverable by law.

22.2 The indemnity excludes loss to the extent caused by our negligence, unlawful conduct, misrepresentation or breach. We will notify you promptly of a covered claim, give you a reasonable opportunity to participate in its defence and obtain your consent before a voluntary settlement at your expense, such consent not to be unreasonably withheld. No settlement may require unlawful action or prevent compliance with a binding court or registry direction.

22.3 This section applies only to Business Customers.

22.4 We will take reasonable steps to limit covered losses, provide reasonable supporting details of sums claimed and make no duplicate recovery. The indemnity does not authorise additional automatic card charges: claims must be notified separately and resolved under this agreement and applicable law.

23. Data, records and notices

23.1 Personal information is processed as set out in the Privacy Notice supplied at checkout. Any required marketing or additional verification consent is obtained separately.

23.2 We may keep proportionate transaction, consent, verification, service, security and registry records and use relevant records for administration, compliance and resolution of claims.

23.3 Notices will ordinarily be sent to your verified independent email and made available in your account. You must maintain those details and monitor them. Notices state their applicable deadlines. Where delivery fails, we will use an available alternative where reasonably practicable.

23.4 Contact us using the details above. Legally required service procedures take priority for formal notices and court documents.

24. General provisions

24.1 You may not assign the licence, option or agreement without our written approval and required verification. We will consider requests reasonably. After Completion, further transfers follow registry requirements.

24.2 We may assign the agreement to a successor with its obligations attached, without materially reducing your contractual protection, on notice and with any legally required consent.

24.3 This agreement and information legally incorporated into it contain the terms of the transaction. For Business Customers, they supersede inconsistent prior discussions and proposals, subject to section 21.1.

24.4 Delay, partial exercise or a single concession does not waive a right. Expressly agreed variations, extensions and waivers remain effective according to their terms.

24.5 Severability: An invalid or unenforceable provision is disapplied to the necessary extent. The remaining provisions continue so far as the agreement can lawfully operate.

24.6 A non-party has no right to enforce these terms under the Contracts (Rights of Third Parties) Act 1999 except as required by law.

24.7 The agreement creates no partnership or employment relationship. During Lease to Buy, Serallo retains the registration rights subject to the licence and option granted here.

24.8 Payment accounting, accrued claims, liability limitations, confidentiality obligations expressly agreed, records, dispute resolution and governing law survive where their nature requires. Future scheduled payments do not survive cancellation or termination.

24.9 Your purchase order or other standard terms do not change this agreement unless we expressly agree the change in writing. This does not displace information or rights incorporated by mandatory law, including information on which a Consumer is legally entitled to rely.

25. Complaints

25.1 Send complaints to the stated address with the Domain, order number and issue. We will acknowledge within five Working Days and aim to respond substantively within twenty Working Days, notifying you where more time is reasonably required.

25.2 Where required, we will identify an appropriate alternative dispute-resolution provider and state whether we are obliged or willing to participate.

25.3 Registry complaints and domain disputes follow the applicable registry procedures. Contractual claims remain subject to this agreement and applicable law.

26. Governing law and jurisdiction

26.1 English and Welsh law governs the agreement and associated non-contractual claims, subject to mandatory Consumer protections.

26.2 Business Customers submit to the exclusive jurisdiction of the courts of England and Wales, without preventing urgent protective relief in another competent court.

26.3 Consumers may bring proceedings in any court available under mandatory jurisdiction rules, including the appropriate courts of their home part of the United Kingdom. Mandatory protections of another applicable jurisdiction are preserved.
